1. Description

These terms and conditions (hereinafter "the Terms") govern access to and use of the factcurier.md and app.factcurier.md platforms, operated by factcurier SRL, CUI 49620528, J25/108/2024, registered at Str. Antonini 17, Drobeta-Turnu Severin, Mehedinți, Romania. factcurier is a Romanian company (EU member state) providing cross-border services to users in the Republic of Moldova.

factcurier is a platform that distributes artificial intelligence to accountants and their clients. We are not accounting software — we are the infrastructure through which AI reaches your accountant. The platform automates document processing, declaration generation, and communication, while the actual accounting is performed by independent licensed accountants.

Non-acceptance of these Terms requires the User to immediately cease access to the platform and use of services.

2. Definitions

  • factcurier — the brand and platform operated by factcurier SRL
  • User — any person who accesses or uses the platform
  • Client — a User who contracts one or more services
  • Services — all services provided through the platform (accounting, registered office, company registration)
  • Contract — the electronic agreement between factcurier and the Client, formed upon order acceptance
  • Licensed accountant — a certified accountant authorized to practice in the Republic of Moldova

3. Services Provided

factcurier offers three categories of services, each operating independently:

3.1 Accounting

Automatic document processing through AI, with review and approval by a licensed accountant. Includes eFactura (sending and receiving), tax declarations (TVA 12, IPC 21, VEN 12), automatic classification and data extraction, real-time dashboard, invoicing, and direct communication with the accountant. Monthly subscription.

3.2 Registered Office

Official registered address with digitization of incoming correspondence. Mail from SFS, the State Registration Chamber, and any other institution is scanned and delivered digitally the same day. Annual subscription.

3.3 Company Registration

SRL or ÎI registration, modifications (registered office, CAEM codes, administrator, share capital, company name — over 20 types), dissolution, and deregistration. Automatic document generation per State Registration Chamber requirements. Per-operation pricing.

4. Account Creation and Authentication

To use the services, you can create a temporary account by providing your name and email address. The temporary account allows you to explore the platform for 30 days. Authentication is performed via:

  • Magic link via email — you receive a unique authentication link at your email address
  • Google OAuth — authentication through your Google account
  • Apple OAuth — authentication through your Apple account

We do not store passwords. The temporary account becomes permanent when you connect your company via MPass authentication. You are responsible for the security of your account and all actions performed through it.

Information provided at registration must be accurate and up to date. Providing false or incomplete data may result in account suspension and contract termination.

5. The Immutable Rule

Every tax declaration submitted to SFS through factcurier is reviewed and approved by a licensed accountant before submission. No exceptions. AI prepares, a human approves. This is not a feature — it is a permanent rule.

6. Native Apps and AI Integrations

6.1 Desktop App

The factcurier desktop app (available for macOS, with Linux and Windows in development) uses the MCP (Model Context Protocol) to enable integration with third-party AI services. You can connect your own subscription to AI providers (OpenAI/ChatGPT, Anthropic/Claude, Google/Gemini) to work with local documents and files.

factcurier is not responsible for data processing performed by third-party AI providers. Use of these integrations is at your own responsibility, under each AI provider's terms. factcurier does not access, store, or transmit your API keys or credentials to third parties.

6.2 Mobile Apps

The factcurier mobile apps (iOS and Android) offer additional capabilities:

  • Push notifications — for real-time updates on accountant activity, tax deadlines, and incoming documents. You can disable notifications from your device settings.
  • Camera — for photographing and sending documents (invoices, receipts). Images are processed by AI for automatic data extraction and are transmitted to your assigned accountant. Camera access is explicitly requested and can be revoked from device settings.

7. Service Requests and Contract Formation

Services are available 24/7 through the platform. The contract is formed when factcurier accepts the order, via electronic confirmation. Services displayed on the platform constitute an invitation to offer, not a binding offer.

Electronic contracts have full legal effect under applicable Moldovan legislation on electronic commerce. factcurier reserves the right to refuse an order, with notification to the Client.

8. Right of Withdrawal

Under applicable consumer protection legislation, you benefit from a withdrawal period of 14 calendar days from the date of contract conclusion, without providing any reason.

Exception: the right of withdrawal does not apply after full service execution (for example, after document submission to the State Registration Chamber or declaration filing with SFS), if you consented to immediate execution at the time of placing the order.

9. User Obligations

  • Provide accurate, complete, and authentic documents. The User warrants the authenticity of provided documents, under the sanctions provided by applicable legislation (forgery of documents).
  • Respond promptly to accountant requests
  • Not use the platform for illegal purposes or contrary to public morals
  • Maintain the confidentiality of access credentials
  • Inform factcurier of any changes in company data
  • Comply with legal document submission deadlines (e.g., eFactura — 5 calendar days as required by law)

10. factcurier Obligations

  • Provide services as described and per the chosen subscription
  • Ensure every declaration is reviewed by a licensed accountant
  • Protect data in accordance with GDPR and applicable data protection legislation
  • Store data exclusively on servers within the European Union
  • Notify the User of relevant tax deadlines and identified issues
  • Maintain platform availability, except during planned maintenance periods

11. Pricing and Payments

Prices are displayed in EUR on the pricing page and include applicable taxes. Monthly subscriptions are billed at the beginning of each period. Company registration services and additional documents are billed separately.

Both parties consent to electronic invoicing per applicable tax legislation. factcurier reserves the right to modify prices with a minimum of 30 days prior notice. New prices apply exclusively to future orders.

Non-payment within 30 days of the due date allows factcurier to suspend services and subsequently unilaterally terminate the contract.

12. Copyright and Intellectual Property

The factcurier platform, including its source code, design, brand, logo, and content, is the exclusive property of factcurier SRL, protected under applicable copyright legislation. Copying, modifying, or distributing content without written consent from factcurier is prohibited.

Documents uploaded by Users remain their property. The User grants factcurier a limited, non-exclusive license to process these documents exclusively for providing the contracted services.

13. Limitation of Liability

  • factcurier is not responsible for errors caused by incorrect, incomplete, or false documents provided by the User.
  • factcurier's total liability is limited to the subscription value paid by the User in the last 12 months.
  • factcurier is not liable for indirect or consequential losses, or for loss of profit.
  • factcurier is not responsible for delays or rejections by the State Registration Chamber, SFS, or other public institutions.
  • Consulting services provided through the platform do not substitute specialized legal, tax, or financial advice under applicable legislation.
  • If the platform is unavailable for more than 5 consecutive business days due to factcurier's fault, the Client is entitled to a proportional subscription refund.

14. Force Majeure

Neither party is liable for failure to perform obligations caused by force majeure events: legislative changes, natural disasters, strikes, pandemics, armed conflicts, large-scale cyberattacks, or other unforeseeable and unavoidable events. Either party may terminate the contract without damages if force majeure persists for more than 30 days.

15. Termination

The User may terminate their account at any time from the platform. Upon termination:

  • Accounting data is retained per legal obligations (10 years per applicable accounting legislation)
  • Account data is deleted within 30 days
  • Data export is available upon request

factcurier may suspend or terminate accounts in case of violation of these Terms, with 15 days prior notice via email. Immediate suspension is possible in case of illegal use of the platform.

For complaints, contact us. We will respond within 30 days.

17. Governing Law and Dispute Resolution

These Terms are governed by Romanian law, factcurier SRL being a company registered in Romania. Your consumer rights are also protected by the legislation of the Republic of Moldova, in particular Law No. 105/2003 on Consumer Protection.

The parties will attempt amicable resolution of any dispute. In case of failure, disputes will be resolved by the competent courts of Romania.

Per EU Regulation no. 524/2013, consumers may use the European Online Dispute Resolution (ODR) platform: ec.europa.eu/consumers/odr.

You may also file complaints with the Agency for Consumer Protection and Market Surveillance (APCSP) of the Republic of Moldova: consumator.gov.md.

18. Changes

We reserve the right to modify these Terms. Significant changes will be communicated at least 30 days before taking effect, via email or platform notification. Continued use of the platform after modifications constitutes acceptance of the new Terms.
